Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Mavo website and the Mavo AI assistant for WhatsApp (together, the “Services”), provided by Moden Technologies FZE (“Mavo”, “we”, “us” or “our”). By accessing or using the Services, or by joining our waitlist, you agree to these Terms. If you do not agree, do not use the Services.
Who may use the Services
The Services are intended for businesses and the people who act on their behalf. By using the Services you confirm that you are at least 18 years old and that, where you act for a business, you have authority to bind that business to these Terms. References to “you” include the business you represent.
The Services and early access
Mavo provides an AI assistant that replies to customer conversations on WhatsApp in your brand voice and hands conversations to your team when a human is needed. The Services are offered on an evolving basis and may currently be provided as a waitlist, beta or early-access programme. Features may change, and some features may be added, modified or removed over time.
Your account and access
You are responsible for the information you provide to us, for any credentials used to access the Services, and for all activity that occurs under your account. You must keep your access details secure and notify us promptly of any unauthorised use.
Acceptable use
You agree not to use the Services to:
- break any applicable law, regulation or third-party rights;
- send spam, unsolicited messages or content that is unlawful, harmful, deceptive, harassing or otherwise objectionable;
- attempt to gain unauthorised access to, disrupt or interfere with the Services or related systems;
- reverse engineer, copy or resell the Services except as permitted by law; or
- use the Services in a way that could harm Mavo, our providers or other users.
WhatsApp and third-party platforms
The Services rely on the WhatsApp Business Platform provided by Meta Platforms, Inc. and on other third-party providers. Your use of those platforms is subject to their own terms and policies, including the WhatsApp Business Messaging Policy. You are responsible for complying with those terms, for obtaining any consents required to message your customers, and for the accuracy of the business information you provide to the assistant. We are not responsible for third-party platforms or for any interruption or change to their services.
AI-generated content
The assistant uses artificial intelligence to generate responses. While we work to make replies helpful and accurate, AI-generated content may be incomplete, inaccurate or otherwise unsuitable. You are responsible for reviewing and supervising the assistant's output and for any messages sent on your behalf. The Services do not provide legal, financial, tax or other professional advice, and you should not rely on them as a substitute for such advice.
Customer data and privacy
Our handling of personal data is described in our Privacy Policy. Where we process the personal data of your customers on your behalf, you remain responsible for that data as its controller, including providing any required notices to and obtaining any required consents from your customers.
Intellectual property
The Services, including all software, content, branding and trademarks, are owned by Moden Technologies FZE or our licensors and are protected by applicable laws. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. You retain ownership of the business information and content you provide to us, and you grant us the rights needed to operate and improve the Services.
Fees
Some features may be offered free of charge during the waitlist or early-access period. Where fees apply, they will be communicated to you before they take effect. We may introduce or change pricing for the Services on reasonable notice.
Disclaimers
The Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or secure, or that the assistant's output will meet your requirements.
Limitation of liability
To the maximum extent permitted by law, Moden Technologies FZE and its officers, employees and providers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid us for the Services in the three months before the event giving rise to the claim, or, if you have paid nothing, AED 500.
Indemnification
You agree to indemnify and hold harmless Moden Technologies FZE from any claims, damages, liabilities and expenses arising out of your use of the Services, your content, or your breach of these Terms or of applicable law.
Suspension and termination
You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if necessary to protect the Services or other users. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability and governing law — will continue to apply.
Changes to the Services or these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Services after an update means you accept the revised Terms. If you do not agree to a change, stop using the Services.
Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-laws rules. You agree that the courts of Sharjah, United Arab Emirates will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except where applicable law provides otherwise.
